1. Acceptance of Terms

By accessing or using VivsMed Healthcare Solutions' software platforms and services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Services.

2. Description of Services

VivsMed provides healthcare software solutions including but not limited to:

• Cardiology reporting and imaging platforms
• Radiology reporting and workflow solutions
• Dental practice management systems
• Ophthalmology screening and biomarker detection
• Healthcare integration and interoperability services

3. User Accounts

To access certain features of our Services, you may be required to create an account. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use
• Ensuring that your account information is accurate and current

4. Permitted Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Services in any way that violates applicable laws or regulations
• Attempt to gain unauthorized access to any portion of the Services
• Interfere with or disrupt the integrity or performance of the Services
• Transmit any malicious code or engage in any activity that could harm the Services
• Use the Services to process data without proper authorization or consent

5. Healthcare Compliance

Our Services are designed to support healthcare compliance requirements. However, you are responsible for ensuring that your use of the Services complies with all applicable healthcare laws and regulations, including HIPAA. We will enter into Business Associate Agreements as required.

6. Intellectual Property

The Services, including all content, features, and functionality, are owned by VivsMed and are protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Services in accordance with these Terms.

7. Data Ownership

You retain ownership of all data you submit to the Services. By using the Services, you grant us a limited license to process your data solely for the purpose of providing the Services. We will not use your data for any other purpose without your consent.

8. Service Level and Support

Enterprise customers may be subject to additional service level agreements (SLAs) as specified in their contracts. Standard support is available during business hours (9 AM - 6 PM IST, Monday through Friday). Enterprise customers receive 24/7 support as specified in their agreements.

9. Limitation of Liability

To the maximum extent permitted by law, VivsMed shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Services. Our total liability shall not exceed the amount paid by you for the Services in the twelve months preceding the claim.

10. Disclaimer of Warranties

The Services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Services will be uninterrupted, error-free, or completely secure. The Services are clinical decision support tools and should not replace professional medical judgment.

11. Termination

We may terminate or suspend your access to the Services at any time for any reason, including breach of these Terms. Upon termination, your right to use the Services will immediately cease. Provisions that by their nature should survive termination shall survive.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in Bangalore, India.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on this page. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.
